1. Eligibility & Accounts

Age. You must be 18+ (or the age of majority in your jurisdiction). If allowed by law, minors may use the Services only with a parent/guardian’s active consent and supervision.

Account. Provide accurate information, keep credentials confidential, and notify us of unauthorized use. You are responsible for all activity under your account.

Professional Use. Unless we sign a separate agreement, the Services are for personal, non-commercial use.

3. Description of Services

Programs & Content. Workout plans, habit tracking, macro calculators, videos, recipes, coaching workflows, community features, challenges, and analytics.

AI-Assisted Features. We may use AI to suggest workouts, macros, habit strategies, or copy. AI outputs are estimates and may be incomplete or inaccurate; they are not clinical or professional advice.

Wearables & Integrations. Optional integrations (e.g., Apple Health, Google Fit, Garmin, Oura, WHOOP, Spotify/Apple Music, Daily.co video, Stripe/Store billing). Availability may vary.

Two-Week Program Cadence. Unless stated otherwise, your workout program is generated using your quiz data and updated approximately every two (2) weeks. Adjustments consider measurements, “My Plan,” and “My Movement” data to move you toward your goals. We do not guarantee specific results or timelines.

4. Subscriptions & Billing

Fees. Some features require a paid subscription or add-on fees displayed at checkout.

Auto-Renewal. Subscriptions auto-renew until canceled. You authorize recurring charges to your payment method each billing cycle at the then-current rate plus taxes.

App Stores. If purchased via Apple App Store or Google Play, their terms, billing, and cancellation controls apply. Manage your subscription in the respective store settings.

Web Purchases. If purchased on our site, manage/cancel via your MacroAlign account. Cancellations apply to future periods; we typically do not prorate or refund partial terms (unless required by law).

Free Trials/Promotions. If you do not cancel before the trial ends, you will be charged at the then-current rate. We may modify or discontinue promotions anytime.

Price Changes. We may change pricing with notice where required. Changes take effect at the next renewal.

5. License & Ownership

Your License. Subject to these Terms, MacroAlign grants you a limited, revocable, non-exclusive, non-transferable license to use the Services for personal, non-commercial purposes.

Our IP. MacroAlign owns all right, title, and interest in the Services, including software, designs, trademarks, text, images, videos, models, and data compilations, excluding your User Content.

Restrictions. You will not: copy, modify, reverse engineer, decompile, resell, lease, frame, scrape, or exploit the Services; bypass security; or use unauthorized automated access.

6. User Content & Community

User Content. You may submit logs, messages, media, reviews, progress, and other content (“User Content”). You retain ownership of your User Content.

License You Grant. You grant MacroAlign a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, use, reproduce, modify, publish, display, perform, distribute, and create derivative works from your User Content solely to operate, improve, promote, and provide the Services.

Rules. Do not upload illegal, infringing, hateful, harassing, pornographic, doxxing, self-harm encouraging, or otherwise harmful content; do not violate others’ privacy or IP; do not post medical claims or dangerous advice.

Moderation. We may remove or restrict content or accounts that violate these Terms or applicable law.

7. AI & Data Accuracy

AI & Estimates. Workout suggestions, macro targets (including BMR/TDEE), readiness, and analytics are estimates and may be wrong or not tailored to your medical needs.

Data Quality. Your inputs and third-party device data may be delayed, incomplete, or inaccurate. You are responsible for verifying critical information.

Frequency Constraint. To maintain stability, macro plan changes may be applied at most once every two weeks (from the date you last applied them), unless we state otherwise.

8. Third-Party Services & Links

The Services may include third-party links and integrations (e.g., wearables, music, video platforms, payment processors). We do not control and are not responsible for third-party content, policies, data practices, outages, or security. Your use of third parties is governed by their terms and privacy notices.

9. Video, Audio & Recordings (Daily.co and similar)

Consent. If you participate in video/audio sessions, you consent to the use of your camera/microphone and, if enabled, to recording in accordance with law. Obtain all legally required consents before recording others.

Controls. The UI may allow you to select devices (mic/camera), mute, disable video, close chat/participants panels, and view active participants.

No Guarantees. Video quality depends on network, devices, and third-party platforms. Service may be interrupted or degraded.

10. Referral/Rewards (“Invite & Earn”)

No Cash Value. Points, perks, tiers, or rewards have no cash value, are non-transferable, and may be modified or discontinued at any time.

Eligibility & Abuse. Only genuine referrals qualify. Self-referrals, fake accounts, and abuse are prohibited. We may withhold or reverse credits at our discretion.

Taxes. You are responsible for any taxes arising from rewards.

11. Acceptable Use

You agree not to:

• Violate laws, infringe IP or privacy rights, or submit harmful code.
• Harass, threaten, or exploit others; promote self-harm or dangerous acts.
• Attempt to gain unauthorized access, scrape, or overload the Services.
• Use the Services while driving or in hazardous environments.

12. Feedback

If you provide ideas or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation.

13. Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and share information, including from wearables and integrations. You consent to receiving electronic communications (e.g., emails, push notifications, in-app messages) related to your account and the Services.

14. Disclaimers

To the fullest extent permitted by law, the Services are provided “AS IS” and “AS AVAILABLE.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, non-infringement, and quiet enjoyment. We do not warrant that the Services will be uninterrupted, secure, or error-free.

15. Limitation of Liability

To the fullest extent permitted by law:

• MacroAlign and its affiliates, officers, employees, licensors, and partners shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data loss, personal injury, or business interruption, arising from or related to the Services.
• If liability cannot be disclaimed, MacroAlign’s aggregate liability shall not exceed the amounts you paid to MacroAlign for the Services in the three (3) months preceding the claim or USD $100, whichever is greater.

Some jurisdictions do not allow certain limitations; in those cases, the above limits apply to the maximum extent permitted.

16. Indemnification

You agree to defend, indemnify, and hold harmless MacroAlign and its affiliates, officers, employees, licensors, and partners from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms or law; or (d) your interactions with third parties.

17. Suspension & Termination

We may suspend or terminate access immediately if we believe you violated these Terms, pose a risk, or for operational/security reasons. You may stop using the Services at any time. Sections intended to survive (e.g., IP, disclaimers, liability limits, indemnity, dispute resolution) will survive termination.

18. Changes to the Services or Terms

We may modify, suspend, or discontinue any feature (including beta/experimental features) with or without notice, and we may update these Terms. Material changes will be posted with an updated “Last updated” date and, where appropriate, in-app notice. Your continued use constitutes acceptance.

19. IP & DMCA

Ownership. All MacroAlign IP is protected by copyright, trademark, and other laws.

Claims. If you believe content infringes your copyright, send a notice to support@macroalign.ai with: (i) your contact info; (ii) identification of the work infringed; (iii) identification/URL of the infringing material; (iv) a statement of good-faith belief; (v) a statement under penalty of perjury of accuracy and authorization; and (vi) your physical/electronic signature. We may remove content and, for repeat infringers, terminate accounts.

20. Governing Law & Disputes (U.S. users)

Law & Venue. These Terms are governed by the laws of the State of Delaware, without regard to conflicts principles.

Binding Arbitration & Class Waiver. Any dispute arising out of or relating to the Services or these Terms shall be resolved by binding arbitration administered by JAMS (or similar) on an individual basis; no class actions or class arbitration. Small-claims court remains available.

30-Day Opt-Out. You may opt out of arbitration by sending written notice to support@macroalign.ai within 30 days of creating your account, including your name, the email associated with your account, and a clear statement opting out.

Injunctive Relief. Either party may seek injunctive or other equitable relief for IP or data security breaches in any court of competent jurisdiction.

21. International Use; Export

You are responsible for complying with local laws. You may not use, export, or re-export the Services in violation of U.S. export controls, sanctions, or anti-corruption laws.

22. Force Majeure

We are not liable for delays or failures due to causes beyond our reasonable control (e.g., acts of God, labor disputes, internet failures, platform outages, war, government actions).

23. Entire Agreement; Severability; Waiver

These Terms, the Privacy Policy, and the Disclaimer constitute the entire agreement between you and MacroAlign. If any provision is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver.
